Welcome to ZOLT. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Driver," or "you") and ZOLT CHARGE SOLUTIONS LLP ("ZOLT," "we," "us," or "our"). These Terms govern your access to and use of the ZOLT mobile application, website, and our physical EV charge stations and network infrastructure (collectively, the "Services").

By registering an account, accessing the App, or plugging your vehicle into a ZOLT dispenser, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Account Registration & Security

• Eligibility: You must be legally capable of entering into a binding contract to use our Services.
• Account Details: You agree to provide accurate, current, and complete information during registration, including valid vehicle details and payment methods.
• Autocharge Profile: If you utilize the Autocharge feature, you are responsible for keeping your vehicle's MAC address profile updated. ZOLT is not liable for unauthorized charge sessions if your vehicle is sold or transferred without removing it from your ZOLT profile.
• Security: You are strictly responsible for maintaining the confidentiality of your account credentials. Any activity occurring under your account is your responsibility.

2. Use of ZOLT Charge Stations

To ensure a safe and premium experience for all drivers, you agree to adhere to the following station etiquette and operational rules:

• Proper Equipment Use: You agree to follow all on-screen and app-based instructions when operating our DC dispensers. You must not forcefully unplug, drop, or deliberately damage the charge guns, cables, or screens.
• Bay Occupation & Idle Fees: ZOLT charge bays are explicitly for active EV charging. Once your session reaches 100% state of charge or is terminated, you must vacate the bay promptly. ZOLT reserves the right to impose an "Idle Fee" for vehicles occupying a bay beyond a specified grace period (typically 10 minutes post-session completion).
• Compatibility: It is your sole responsibility to ensure your vehicle is technically compatible with ZOLT's CCS2 DC charge infrastructure before initiating a session.
• Vandalism: Any deliberate tampering, vandalism, or misuse of ZOLT property will result in immediate account suspension, and ZOLT reserves the right to pursue civil or criminal liability for damages.

3. Pricing, Billing, and Payments

• Dynamic Pricing: Charge tariffs (per kWh or per minute) are dynamically displayed in the ZOLT App prior to session initiation. Pricing may vary by location, time of day, or total power output.
• Pre-Authorization: Initiating a session requires a pre-authorization hold on your selected payment method or ZOLT wallet. If the final session cost is lower than the held amount, the difference is automatically and immediately released by ZOLT, subject to standard bank processing timelines.
• Failed Payments: If a payment fails to settle, your account will be temporarily suspended from initiating future sessions until the outstanding balance is cleared.
• Taxes: All applicable taxes (including GST) will be calculated and appended to your final digital invoice automatically.

4. Limitation of Liability and Disclaimers

• "As-Is" Service: ZOLT provides its network on an "as is" and "as available" basis. While we target maximum uptime, we do not warrant that our Services will be completely uninterrupted, error-free, or continuously available at all times.
• Vehicle Constraints: The actual power delivery speed is heavily dictated by your vehicle's Battery Management System (BMS), battery temperature, and current state of charge. ZOLT is not liable for charge speeds falling below the maximum rated dispenser output due to these vehicle-side limitations.
• Property Damage: To the maximum extent permitted by law, ZOLT shall not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to battery degradation, software faults in your EV, or loss of vehicle warranty, arising out of the use of our charge stations.

5. Intellectual Property Rights

All content, branding, logos, app interfaces, and architectural designs associated with ZOLT (including our signature canopies and dispensers) are the exclusive intellectual property of ZOLT CHARGE SOLUTIONS LLP. You may not copy, reproduce, reverse-engineer, or commercially exploit any part of our Services without prior written consent.

6. Account Termination

We reserve the right to suspend or permanently terminate your access to the ZOLT network at our sole discretion, without prior notice, if you breach any of these Terms, engage in fraudulent payment activities, or consistently misuse the charge bays (e.g., severe idle time violations).

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the use of ZOLT Services shall be subject to the exclusive jurisdiction of the competent courts situated in Karur, Tamil Nadu.

8. Amendments to Terms

ZOLT reserves the right to update or modify these Terms at any time. Changes will be communicated via the App or our website. Your continued use of the ZOLT network following the posting of revised Terms signifies your binding acceptance of the changes.
